Gray Digital User Agreement for Participating Members

By accessing or using our Products & Services, you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to these Terms, you should not access or utilize our Products & Services.

User Agreement:

As a condition to utilize Gray Digital (collectively, the “Company”) Products & Services, Participating Members agree not to: (i) Impersonate or misrepresent your affiliation with any person or entity; (ii) Access, tamper with, use any non-public areas of Gray Digital Products & Services or its databases and/or operating systems. (iii) attempt to probe, scan, infiltrate or test vulnerabilities related to Gray Digital Products & Services. (iv) attempt to decipher, decompile, disassemble, reverse engineer, or otherwise investigate any of the software or components utilized by Gray Digital Products & Services (v) harm or threaten to harm other users or Gray Digital team members in any way or interfere with or attempt to interfere with the participation of any user, access of any user, host, or network, including and without limitation to operating or sending a virus, overloading, flooding, spamming, defaming remarks, slander, intentional misleading comments or any other attacks on Gray Digital Products & Services (vi) use The Gray Digital Products & Services in an abusive way other than its intended use, and/or outside of the stated terms of use (vii) infringe on The Gray Digital intellectual property rights when using or accessing Gray Digital Products & Services, including without limitation to making imitation participating member/Team member accounts, logos, websites, or any other items (viii) make use of, promote, link, share, provide access to materials deemed inappropriate by the Gray Digital community and/or team, harmful to The Gray Digital reputation, harmful to any team members or users, pornographic content, other content deemed offensive or injurious to users of The Gray Digital Products & Services.

The Gray Digital users conduct and interactions with team members and other users should be guided by common sense and basic etiquette. Gray Digital reserves the right to terminate a user's access to Gray Digital Products & Services, which may include the forfeiture and loss of any funds and/or rewards related to Gray Digital Products & Services. Gray Digital reserves the sole and unfettered discretion and right to identify and terminate access to a user based on the violation of these terms, and for any conduct or activity that the Gray Digital company believes is illegal, violates the terms of this agreement, or otherwise negatively affects the Gray Digital team, users, Products & Services or any other aspects of the company. Gray Digital reserves the right to monitor all user comments and to remove any comments which can be considered violation of this Agreement.

Users acknowledge that Gray Digital reserves the right to investigate and respond to and/or potentially prosecute any violations of any term or provision of this agreement including and without limitation to possible infringement of any intellectual property rights and possible security breaches of the Gray Digital Products & Services to the fullest extent of the law. Gray Digital may involve and cooperate with law enforcement authorities in the prosecution of users who violate certain terms of this agreement.

By accepting these terms, you waive all rights not specifically set forth herein, and agree to hold Gray Digital harmless from any claims resulting from any action taken by Gray Digital during or as a result of its investigation and subsequent response and consequence of actions taken by either Gray Digital or other cooperating entities.

Gray Digital Assets and Intellectual Property:

The Gray Digital has the sole right and discretion to move, sell, buy, or access any Gray Digital assets while in the organization's custody. During the time of custody, assets are governed exclusively by The Gray Digital Company, not individual Participating Members until otherwise withdrawn or dispersed. Gray Digital Participating Members can not move, sell, claim or manipulate Gray Digital assets at any time outside of the established parameters listed in the Gray Digital Documentation under the Withdrawals and Rewards/Yield Section. Gray Digital has the sole discretion to procure, sell, liquidate, transfer, modify and allocate funds and assets as it deems necessary. Nothing in this Agreement shall constitute a partnership or joint venture between users and Gray Digital unless otherwise noted outside of this Agreement. Nothing in this Agreement shall suggest or infer that any assets operated and managed by Gray Digital are shared or distributed to Participating Members/Users outside of the description provided in the Withdrawals section and Rewards/Yield section of The Gray Digital Documentation.

All right, title, and interest in and to The Gray Digital Products & Services are and will remain the exclusive property of The Gray Digital and, to the extent applicable, third parties providing facilities and technology for its operation. The Website, Decentralized Application (dApp) and all other Products & Services are protected by copyright, trademark, and other domestic and foreign laws concerning intellectual property. You acknowledge and agree that a Participating Member/User shall have no ownership or other property interest in The Gray Digital Products & Services.

Gray Digital grants Participating Members the personal, non-transferable, non-exclusive, revocable, and limited right to access and utilize Gray Digital Products & Services solely for the intended purposes listed in the Gray Digital Documentation and as an individual consumer/user. This right to access confers no title or ownership in the Site or Services. Except as otherwise provided by this Agreement, you may not use Gray Digital Products & Services for any purpose other than your permitted access to the Gray Digital Products & Services, to make personal, non-commercial use of Gray Digital Products & Services. Except as otherwise permitted under this Agreement, or under applicable law notwithstanding these restrictions, you may not, in whole or in part, copy, photocopy, reproduce, publish, distribute, translate, reverse engineer, derive source code from, modify, disassemble, decompile, create derivative works based on, or remove any proprietary notices or labels from the Site or Service or any software accessed via Gray Digital Products & Services without prior written consent.

Gray Digital provides no guarantee or promise of income or rewards to any party that deposits funds, invests, or utilizes Gray Digital Products & Services. At no time does Gray Digital relinquish any ownership rights to the company, assets, treasury, or any other property belonging to Gray Digital to any individual, group, “partner” or Participating Member.

Participating Member Access Refusal to Gray Digital Products & Services:

Gray Digital (collectively, the “Company”) retains the sole and absolute discretion to refuse the access, admission, participation or deposit from any prospective investor into Gray Digital Products & Services of any kind, notwithstanding the prospective investor's willingness or ability to invest. This discretion will be exercised in compliance with the Gray Digital rules, policies and regulations, as well as applicable laws and in a manner consistent with The Gray Digital's commitment to integrity and the best interests of the company’s existing investors.

Reasons for refusal may include, but are not limited to, violation of the Terms of Use, Gray Digital Participating Member (user) Agreement, or any other conditions of Gray Digital disclosures/policies/agreements. Additional Reasons for Refusal include concerns regarding the source of funds utilized by a Participating Member, potential conflicts of interest, regulatory considerations, defaming remarks, slander, intentional misleading comments or any other attacks on Gray Digital Company or any other reason deemed relevant by the management of Gray Digital company. By accessing the Gray Digital Products & Services, you acknowledge that you have read, understood, and agreed to these Terms.

Participating Member/User Disputes:

You agree that you are solely responsible for your interactions with any other Participating Member/User in connection with Gray Digital Products & Services, and that Gray Digital will have no liability or responsibility with respect thereto. Gray Digital reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of Gray Digital, and its Products & Services.

Participating Member purchases and deposits to Gray Digital Products & Services are final, non-refundable, except where specifically noted otherwise, see Gray Fund Withdrawals in reference to emergency withdrawals for further details. Making or receiving payments on Gray Digital Products & Services may be delayed while Gray Digital validates your identity, compliance with this User Agreement, and other Disclosures, Policies & Agreements herein. Participating Members will exclusively submit any disagreement, dispute, complaint, or query by means of Gray Digital Support via the Gray Digital website and official Gray Digital discord. Any other media or communication sources (including without limitation to, chat apps, Social media, video comments, non Gray Digital email addresses, group pages and the like) do not constitute a valid means to engage with Gray Digital for support. Participating Members agree not to initiate any claim and/or dispute procedure with third parties regarding payment and receipt of products or services. The first instance of initiating such a claim and dispute procedure will result in potential temporary suspension of your account for use of the Service or automatic termination of your individual account and use of the Service. Any other instance of initiation of a claim and dispute procedure may result in automatic termination of your individual account and use of Gray Digital Products & Services. Any refunds for purchases or emergency withdrawals of deposits following a request shall be at Gray Digital's sole, unfettered, and exclusive discretion, and provided only on an exceptional basis, or as defined and specifically noted otherwise in this documentation.

Miscellaneous:

This Agreement constitutes the entire understanding between parties and supersedes any and all prior or contemporaneous understandings, whether oral or written, between the parties, with respect to the subject matter hereof. This Agreement is subject to change.
